Compliance Audit of Acquisition Target Reveals Critical Liability Info

CDF was hired by a venture capital firm that was considering purchasing a company.  The audit focused on identifying potential liability for a wide range of potential employment law issues such as misclassification, independent contractor issues, pay stub compliance, overtime, EEO issues pertaining to hiring, discipline and termination, expense reimbursements, and I-9 forms.  CDF attorneys reviewed the company’s policies and discussed procedures with company management and the HR department.  The results of the audit enabled the venture capital firm to build appropriate hold-back provisions into the purchase agreement based on the areas of liability identified in the audit.
